1. INTRODUCTION
1.1 General
These Terms and Conditions ("Terms") govern the use of Bull Bitcoin services provided by Catallaxy Technologies, Inc ("we," "us," "our," or "Bull Bitcoin") as specified below.
Bull Bitcoin offers a platform through the Bull Bitcoin website (https://www.bullbitcoin.com/) (the “Website”), the mobile application (the “App”) and application programming interfaces ("APIs"), that are associated with the Website (the “Platform”).
Our services are designed for individuals and business entities.
1.2 Acceptance and modifications to Terms
By creating a Bull Bitcoin Account, accessing or using the Services, or otherwise affirmatively accepting these Terms, you agree to be bound by these Terms and acknowledge that you have been provided access to our Privacy Policy. If you do not agree to these Terms, you must immediately discontinue use of the Services.
We may modify these Terms from time to time. Unless otherwise stated, modifications will apply prospectively from their effective date. Your continued use of the Services after the effective date of a modification constitutes your acceptance of the modified Terms to the extent permitted by Applicable Law.
1.3 Definitions
Capitalised terms used in these Terms (or defined elsewhere herein) shall have the meanings set out below, unless otherwise specified.
“AML/CFT” means anti-money laundering and counter financing of terrorism.
“Applicable Law” means any applicable federal, state, or local law, statute, regulation, rule, order, judgment, or other legally binding requirement of a governmental, regulatory, judicial, or other competent authority, in each case as amended or replaced from time to time.
“Bitcoin” or “BTC” means bitcoin (BTC). References to Bitcoin in these Terms include transactions conducted using the Bitcoin Network or the Lightning Network and, where the context requires, transactions involving L-BTC on the Liquid Network.
“Double Spend” means an attempt to spend the same Bitcoin inputs in two or more conflicting transactions, including by creating or broadcasting a transaction that conflicts with a Bitcoin transaction previously sent to Bull Bitcoin.
“Replace-by-Fee” or “RBF” means a Bitcoin transaction-replacement mechanism that allows an unconfirmed Bitcoin transaction to be replaced by a conflicting transaction that pays a higher transaction fee.
“Exchange Provider” means the regulated provider responsible for performing the applicable fiat-to-Bitcoin or Bitcoin-to-fiat exchange in connection with a Provider Transaction.
"Fiat Currency" or “Fiat Money” refers to government-issued currency that is designated as legal tender in its country of issuance, specifically US dollars (USD) for our Services.
“Final Price” means the User-Facing Price applicable to a Provider Transaction once confirmed and locked in, in accordance with the transaction terms displayed to you. It is the price at which you actually purchase or sell Bitcoin, and determines the Bitcoin and fiat amounts applicable to the transaction. Once locked, the Final Price will not change, except in the case of a manifest error or as otherwise expressly disclosed before the Final Price is established.
“Lightning Network” means the payment-channel network built on top of the Bitcoin Network that enables Bitcoin payments to be transmitted and settled through payment channels without recording each individual payment directly on the Bitcoin blockchain.
“Liquid Network” means the federated Bitcoin sidechain commonly known as the Liquid Network, through which bitcoin may be represented and transferred as Liquid Bitcoin (“L-BTC”) using the network’s applicable peg, federation, and settlement mechanisms. L-BTC is an asset issued and transferred on the Liquid Network and is distinct from native bitcoin recorded directly on the Bitcoin Network.
“Third-Party Provider” means an Exchange Provider or another disclosed bank, payment processor, custodian, wallet provider, compliance provider, liquidity provider, or financial institution involved in providing a service connected with a Provider Transaction.
“Provider Services” means the exchange, fiat, custody, wallet, payout, withdrawal, settlement, compliance, or other services supplied by a Third-Party Provider.
“Provider Terms” means the separate agreements, disclosures, privacy notices, authorizations, and other terms governing Provider Services.
“Provider Transaction” means a Bitcoin purchase or sale provided by an Exchange Provider and accessed through the Bull Bitcoin application.
“Services” means the services made available to users in the United States through the Bull Bitcoin application, including the Bull Bitcoin Services provided by Bull Bitcoin and the Provider Services provided by the applicable Third-Party Providers.
“Underlying Exchange Price” means the price at which the applicable Exchange Provider executes the underlying fiat-to-Bitcoin or Bitcoin-to-fiat exchange. The Underlying Exchange Price may differ from the User-Facing Price or Final Price.
“User-Facing Price” means the transaction price displayed by Bull Bitcoin to you for a proposed Provider Transaction. The User-Facing Price includes Bull Bitcoin’s applicable commission and remains subject to refresh or update until it becomes the Final Price.
2. BULL BITCOIN ACCOUNT
2.1 Registration
To access the Services, you must create an account with Bull Bitcoin (your “Bull Bitcoin Account”) and provide accurate, complete, and current information as requested during registration and from time to time thereafter.
You may be required to provide information and documentation necessary to verify your identity, comply with applicable legal and regulatory requirements, and determine your eligibility to use the Services according to these Terms and the Third-Party Provider Terms. You authorize Bull Bitcoin and its Third-Party Providers to verify such information as reasonably necessary for these purposes. You must promptly update your information if it changes.
Your Bull Bitcoin Account provides access to the Bull Bitcoin application and Services. It is separate from any account or balance established or maintained for you by other Third-Party Provider (“Provider Account”). Creating a Bull Bitcoin Account does not mean that Bull Bitcoin holds or custodies fiat currency or Bitcoin for you.
2.2 Eligibility
You may create and maintain a Bull Bitcoin Account only if you: (a) are at least 18 years old and have the legal capacity to enter into these Terms; (b) are located in a jurisdiction in which the Services are available to you; (c) provide the information and documentation reasonably required to establish and maintain your Bull Bitcoin Account and any required Provider Account; and (d) comply with these Terms and any applicable Provider Terms. Bull Bitcoin or an applicable Third-Party Provider may impose additional eligibility requirements for particular services or transaction types.
2.3 Account Security
You are responsible for maintaining the security of your Bull Bitcoin Account and all credentials, devices, authentication methods, passwords, PINs, API keys, and other means used to access it (“Credentials”).
You must take reasonable measures to protect your Credentials and must not share them with any unauthorized person. Bull Bitcoin will never ask you to disclose your password, private keys, or two-factor authentication codes.
You must notify Bull Bitcoin promptly if you know or reasonably suspect that your Bull Bitcoin Account or Credentials have been compromised or used without authorization.
To the fullest extent permitted by applicable law, Bull Bitcoin is not responsible for losses resulting from unauthorized access caused by your failure to safeguard your Credentials, devices, or authentication methods, except to the extent caused by Bull Bitcoin’s negligence, fraud, willful misconduct, or breach of these Terms.
3. SERVICES
3.1 Bull Bitcoin Services
Within the scope of the Services, Bull Bitcoin acts as a technology services provider. Bull Bitcoin provides the user-facing application and technical interface, relays your instructions and information, provides customer and compliance support, constructs and displays the User-Facing Price, and provides the order-specific Bitcoin infrastructure necessary to complete a Provider Transaction (the “Bull Bitcoin Services”).
The underlying fiat-to-Bitcoin or Bitcoin-to-fiat exchange, fiat custody, and any continuing Bitcoin custody services are provided by the applicable Exchange Provider or Third-Party Provider, and not by Bull Bitcoin. Bull Bitcoin remains responsible only for the Bull Bitcoin Services it provides under these Terms. Bull Bitcoin does not act as the exchange counterparty, broker, dealer, liquidity provider, fiat custodian, or provider of any hosted Bitcoin wallet or continuing Bitcoin custody service in connection with a Provider Transaction.
3.2 Order-Specific Bitcoin Infrastructure
As part of the Bull Bitcoin Services, Bull Bitcoin may receive, validate, process, and deliver Bitcoin associated with a specific Provider Transaction. This functionality is limited to that Provider Transaction, does not establish a hosted wallet or reusable Bitcoin balance with Bull Bitcoin, and is not offered as a standalone remittance, payment, custodial, or general-purpose Bitcoin-transfer service.
Bull Bitcoin may exercise the technical control reasonably necessary to complete the applicable Bitcoin delivery but may not change the Bitcoin amount or authorized destination except with your further authorization or as reasonably necessary to address a manifest error, security incident, legal requirement, or technical failure.
3.3 Bitcoin Delivery
Once Bull Bitcoin confirms receipt of Bitcoin associated with a Provider Transaction, Bull Bitcoin is responsible for delivering the agreed Bitcoin amount to the authorized destination in accordance with your transaction instructions. Delivery is completed when: (a) for Bitcoin or Liquid, Bull Bitcoin broadcasts a valid transaction paying the agreed Bitcoin amount to the authorized address; (b) for Lightning, the applicable invoice or payment request reports successful settlement; or (c) for another supported rail, the applicable completion condition disclosed before authorization is satisfied.
Blockchain confirmation times, Lightning routing, and other network conditions are outside Bull Bitcoin’s control. A validly broadcast Bitcoin or Liquid transaction may remain unconfirmed, and a Lightning payment may fail due to network conditions. Bull Bitcoin remains responsible for any delivery failure attributable to its own performance of the Bull Bitcoin Services.
3.4 Relationship with the Exchange Provider
Provider Services are provided by applicable Third-Party Providers and are governed by the applicable Provider Terms, which you may be required to review and accept before accessing a Provider Transaction. Bull Bitcoin may transmit your Instructions, display Provider information, facilitate access to Provider Transactions, and provide customer or compliance-related support. These activities do not make Bull Bitcoin the provider of the applicable Provider Services.
4. FIAT FUNDS AND THIRD-PARTY ACCOUNTS
Any fiat balance displayed through the Bull Bitcoin application represents a balance maintained for you by a Third-Party Provider. It is not a balance, deposit account, stored-value account, payment account, debt, or liability of Bull Bitcoin.
Bull Bitcoin does not obtain legal title to or beneficial ownership of fiat funds maintained for you by a Third-Party Provider and has no unilateral authority to withdraw, pledge, assign, encumber, redirect, or otherwise dispose of those funds.
Bull Bitcoin may transmit Instructions authorized by you to the applicable Third-Party Provider. The Third-Party Provider determines whether to accept and execute those Instructions and is responsible for the custody, crediting, debiting, freezing, return, recall, reversal, withdrawal, and payout of fiat funds in accordance with the applicable Provider Terms.
Fiat funding, balances, payments, withdrawals, payouts, refunds, returns, recalls, reversals, and account restrictions are governed by the applicable Provider Terms.
5. PRICING AND EXECUTION
5.1 Underlying Exchange Price
The Exchange Provider executes the underlying fiat-to-Bitcoin or Bitcoin-to-fiat exchange. Bull Bitcoin does not operate the underlying market, provide the underlying exchange liquidity, or control the Exchange Provider's execution of the underlying exchange.
5.2 Bull Bitcoin commission and User-Facing Price
Bull Bitcoin determines and displays the User-Facing Price applicable to a Provider Transaction. The User-Facing Price includes Bull Bitcoin's applicable commission and may differ from the Underlying Exchange Price.
Bull Bitcoin does not separately charge you a commission or transaction fee for a Provider Transaction. A statement that a transaction has “no fee” means that no separate Bull Bitcoin transaction fee is added to the Final Price. It does not mean that Bull Bitcoin receives no compensation or that the Final Price is identical to the Underlying Exchange Price.
Bull Bitcoin's construction and display of the User-Facing Price does not make Bull Bitcoin the Exchange Provider, exchange counterparty, broker, dealer, or liquidity provider.
5.3 Transaction Quotes and Authorization
Before you authorize a Provider Transaction, the Bull Bitcoin application will display the material transaction terms applicable to your order, which may include: (a) the fiat amount; (b) the Bitcoin amount; (c) the User-Facing Price; (d) any applicable quote or pricing-expiration time; (e) the applicable delivery method; and (f) any other material transaction conditions.
Public rates, index prices, estimates, and general market information are provided for informational purposes only and do not constitute a User-Facing Price. The User-Facing Price displayed to you may differ from public, indicative, or previously displayed prices.
The User-Facing Price is valid for ten (10) minutes from the time it is displayed. If the applicable transaction steps are not completed within that period, the User-Facing Price may be refreshed to reflect current pricing. Any refreshed User-Facing Price will be displayed to you before it becomes the Final Price applicable to the transaction. Once the User-Facing Price becomes the Final Price, the Final Price and corresponding Bitcoin and fiat amounts govern the Provider Transaction, subject to manifest error and any other condition expressly disclosed before the Final Price is established.
For Automated Purchase Features under Section 6, the User-Facing Price is determined when the applicable purchase instruction is triggered and becomes the Final Price without requiring a separate price display or further authorization from you. The ten-minute quote validity and refresh requirements described above do not apply to such transactions.
5.4 Execution and Settlement
The underlying exchange is performed as part of the Provider Services and is governed by the applicable Provider Terms. Submission of an Instruction does not guarantee acceptance or execution.
The Underlying Exchange Price may differ from the Final Price. Such a difference does not, by itself, change the Final Price or the corresponding Bitcoin or fiat amount applicable to your Provider Transaction.
If a Provider Transaction cannot be completed on the terms you authorized, it may be rejected or canceled. If a new or refreshed User-Facing Price applies, it will be displayed to you before becoming the Final Price applicable to the transaction.
Charges imposed independently by your bank or another external financial institution are not Bull Bitcoin commissions and may not be included in the Final Price.
5.5 Manifest Errors
Bull Bitcoin or the Exchange Provider may correct a manifest pricing, display, duplication, status, or technical error. A manifest error does not include an ordinary change in the market price of Bitcoin following your authorization of a Provider Transaction.
You are not entitled to retain a benefit resulting from an error that a reasonable person would recognize as erroneous. Any correction must be reasonably related to the error and reflected in or otherwise documented in the applicable transaction record.
Nothing in this Section authorizes Bull Bitcoin to reverse a completed Bitcoin transaction or debit fiat funds controlled by a Third-Party Provider without lawful authority and any authorization required under the applicable Provider Terms.
6. AUTOMATED PURCHASE FEATURES
6.1 General
Bull Bitcoin may make available features that allow you to provide advance or standing instructions for the submission of Provider Transactions, including Buy Limit Orders, Dollar Cost Averaging (“DCA”), and Autobuy (collectively, “Automated Purchase Features”).
By activating or placing an Automated Purchase Feature, you authorize Bull Bitcoin to use its technology to trigger and submit the corresponding purchase instruction when the conditions selected by you or applicable to that feature are satisfied, without requiring separate authorization from you for each resulting Provider Transaction.
Each resulting Provider Transaction is subject to the pricing and execution provisions of Section 5, the applicable Provider Terms, and any additional conditions displayed through the Bull Bitcoin application.
Execution is not guaranteed and may be affected by the availability of sufficient funds, market conditions, liquidity, applicable Provider requirements, technical availability, or other circumstances affecting execution.
You may modify or cancel an Automated Purchase Feature only before the applicable purchase instruction has been triggered, subject to the functionality available through the Bull Bitcoin application. A modification or cancellation does not affect a Provider Transaction already triggered pursuant to your prior authorization.
6.2 Buy Limit Orders
A Buy Limit Order allows you to select a reference price (the “Limit Price”) at which a Bitcoin purchase instruction will be triggered.
The Limit Price is used solely to determine when the Buy Limit Order is triggered. It is not the Final Price of the resulting Provider Transaction.
When the applicable reference price reaches or falls below the Limit Price, Bull Bitcoin will trigger and submit the corresponding purchase instruction pursuant to your advance authorization. The User-Facing Price applicable when the order is triggered may differ from the Limit Price and will become the Final Price for the resulting Provider Transaction without further authorization from you, in accordance with Section 5.
You are responsible for maintaining sufficient funds in your applicable Provider Account. If sufficient funds are not available when the Buy Limit Order is triggered, the order may not be completed or may be completed only to the extent supported by the applicable functionality and Provider Services.
Applicable order limits, expiration periods, modification and cancellation functionality, and other operational conditions may be displayed through the Bull Bitcoin application.
6.3 Dollar Cost Averaging (DCA)
DCA allows you to provide Bull Bitcoin with a standing instruction to submit recurring Bitcoin purchase instructions at the frequency and for the amount selected by you.
At each scheduled interval, Bull Bitcoin will trigger and submit the corresponding purchase instruction pursuant to your standing authorization. The User-Facing Price applicable when the purchase instruction is triggered will become the Final Price for the resulting Provider Transaction without further authorization from you, in accordance with Section 5.
You are responsible for maintaining sufficient funds in your applicable Provider Account for each scheduled purchase. If sufficient funds are not available, the scheduled purchase may not be completed or may be completed only to the extent supported by the applicable functionality and Provider Services.
You may modify or cancel your DCA plan before the applicable purchase instruction has been triggered. Any modification or cancellation will apply prospectively and will not affect a Provider Transaction already triggered pursuant to your prior authorization.
6.4 Autobuy
Autobuy allows you to provide Bull Bitcoin with a standing instruction to submit a Bitcoin purchase instruction when an eligible incoming Fiat Currency deposit is credited to your applicable Provider Account.
When an eligible deposit is confirmed, Bull Bitcoin will trigger and submit the corresponding purchase instruction pursuant to your standing authorization. The User-Facing Price applicable when the purchase instruction is triggered will become the Final Price for the resulting Provider Transaction without further authorization from you, in accordance with Section 5.
The applicable User-Facing Price may differ from any indicative Bitcoin price displayed before the incoming deposit is credited.
You may enable, disable, or modify Autobuy before the applicable purchase instruction has been triggered. Any modification or cancellation will not affect a Provider Transaction already triggered pursuant to your prior authorization.
7. INCOMING BITCOIN AND TRANSACTION FINALITY
For a Provider Transaction involving the transfer of Bitcoin by you, you must send the required Bitcoin amount to the address, invoice, or other destination provided for that transaction and comply with the applicable transaction instructions.
Once you have broadcast a Bitcoin transaction to a destination provided by Bull Bitcoin, you must not attempt to cancel, replace, redirect, double-spend, or otherwise invalidate or interfere with that transaction while it remains unconfirmed, including through RBF, a Double Spend, or any other conflicting transaction.
The detection or broadcast of an unconfirmed Bitcoin transaction does not constitute final settlement and does not require Bull Bitcoin or the applicable Third-Party Provider to complete the corresponding Provider Transaction or take any other action that depends on the transaction satisfying the applicable confirmation requirements.
Bull Bitcoin may wait for the applicable confirmation requirements to be satisfied before performing any Bull Bitcoin Service that depends on receipt of the Bitcoin. Any Provider-side processing, including the availability or withdrawal of fiat proceeds, is subject to the applicable Provider Terms.
If an incoming transaction is replaced, canceled, double-spent, or otherwise fails to satisfy the applicable confirmation requirements, Bull Bitcoin may suspend or restrict the relevant Bull Bitcoin Service or your Bull Bitcoin Account and take any reasonable remedial action available to it. You may also be required to reimburse Bull Bitcoin for any actual losses or costs directly resulting from your violation of this Section, subject to Applicable Law.
8. COMPLIANCE AND INFORMATION SHARING
Bull Bitcoin may collect and transmit information, request additional information, and provide other technical or administrative compliance assistance in connection with the Provider Services. Such assistance does not transfer to Bull Bitcoin any compliance obligation applicable to a Third-Party Provider or make Bull Bitcoin responsible for that provider's compliance program, decisions, filings, or regulatory status.
You authorize Bull Bitcoin and the applicable Third-Party Providers to exchange identity, account, payment, wallet, transaction, compliance, instruction, and other information reasonably necessary to provide the Services, process transactions, prevent or investigate fraud or suspicious activity, comply with Applicable Law, and provide customer support, in accordance with applicable Privacy Notices and Applicable Law.
9. PROVIDER INFORMATION AND RECORDS
Balances, transaction histories, eligibility statuses, exchange statuses, and other Third-Party Provider information displayed through the Bull Bitcoin application are retrieved from the applicable Third-Party Provider and are provided for informational purposes. Such information may be subject to processing delays, synchronization delays, transmission errors, rounding differences, or temporary discrepancies.
In the event of a discrepancy the applicable Third-Party Provider’s books and records control with respect to fiat balances, exchange execution, custodial accounts, and Provider Services; and Bull Bitcoin’s records control with respect to instructions received by Bull Bitcoin and the order-specific Bitcoin infrastructure functions performed by Bull Bitcoin.
You must promptly notify Bull Bitcoin if you believe that information displayed through the Bull Bitcoin application contains an error or discrepancy.
10. USER INSTRUCTIONS AND ACCOUNT SECURITY
You are responsible for: 1) reviewing transaction amounts, prices, payment information, Bitcoin addresses, invoices, and other instructions before submission; 2) providing accurate and complete information; 3) maintaining the security of your credentials, devices, email account, and authentication methods; 4) using unique credentials and available multifactor authentication or passkeys; 5) ensuring that bank accounts, payment methods, and Bitcoin destinations you provide belong to or are controlled by you, unless expressly permitted otherwise; and 6) promptly reviewing confirmations, account history, statements, and notices.
Bull Bitcoin will never ask you to disclose a private key, seed phrase, password, or one-time authentication code through email, telephone, or customer-support chat.
You must immediately notify Bull Bitcoin if you suspect unauthorized account access, credential compromise, fraud, or another security incident.
Bull Bitcoin may perform automated or manual authentication, formatting, compliance, fraud, security, and destination checks. These checks are risk controls, not a guarantee that an instruction, counterparty, communication, or destination is legitimate, and they do not transfer to Bull Bitcoin responsibility for the accuracy of information or instructions supplied by you.
11. TRANSACTION ERRORS AND UNAUTHORIZED ACTIVITY
If you believe a transaction was unauthorized, incorrectly executed, duplicated, or directed to an incorrect destination, you must contact Bull Bitcoin support immediately.
Bull Bitcoin may investigate alleged errors related to its application, order routing functions, price display, or order-specific Bitcoin infrastructure functions, but is not responsible for investigating errors related to the services of Third-Party Providers of fiat currency, exchange, custody, or payment services.
Reporting an error does not guarantee that a completed Bitcoin transaction can be reversed.
12. FRAUD AND SCAM PREVENTION
You must not use the Services in connection with fraud, scams, coercion, account takeover, social engineering, money laundering, sanctions evasion, or other unlawful activity.
Bull Bitcoin may delay, reject, restrict, or suspend a transaction or your access to the Services where it reasonably suspects fraud, a scam, unauthorized activity, or other prohibited conduct.
Bull Bitcoin may use fraud-prevention, security, and transaction-monitoring controls, but these controls do not guarantee that a person, communication, transaction, or destination is legitimate. You are responsible for reviewing and verifying transaction instructions and destinations before authorizing a transaction.
If you suspect fraud or unauthorized activity, you should promptly stop further activity, secure your account, and contact Bull Bitcoin support. Bull Bitcoin may cooperate with lawful law-enforcement requests and investigations in accordance with Applicable Law, but cannot guarantee that Bitcoin or other funds can be recovered once transferred.
To the fullest extent permitted by Applicable Law, Bull Bitcoin is not responsible for losses resulting from fraud, scams, or unauthorized activity except to the extent caused by Bull Bitcoin’s breach of these Terms, fraud, gross negligence, reckless or willful misconduct, or where liability cannot lawfully be excluded or limited.
13. PROHIBITED USE
You may not use the Services to: 1) violate Applicable Law or the Provider Terms; 2) provide false, inaccurate, incomplete, or misleading information; 3) create or control unauthorized multiple accounts; 4) impersonate another person or misrepresent an affiliation; 5) circumvent security, geographic, compliance, or transaction restrictions; 6) engage in money laundering, terrorist financing, sanctions evasion, fraud, scams, or other unlawful activity; 7) send Bitcoin obtained through theft, fraud, ransomware, or other unlawful means; 8) manipulate or exploit prices, quotes, systems, or transaction processes; 9) cancel, replace, or double-spend an incoming Bitcoin transaction; 10) use the Services for an unauthorized third-party payment; 11) interfere with or disrupt the Services; or 12) engage in conduct that exposes Bull Bitcoin or a Third-Party Provider to complaints, reversals, chargebacks, penalties, losses, or unreasonable legal or operational risk.
Violation may result in transaction rejection, account restriction, suspension, termination, or other action permitted by law.
14. PROVIDER CHANGES AND BUSINESS CONTINUITY
If an Exchange Provider discontinues a Provider Service, Bull Bitcoin may suspend the affected U.S. Service and, where reasonably practicable, provide information regarding the discontinuation, any available transition arrangements, and any replacement provider. Bull Bitcoin will not route new Provider Transactions to a replacement Exchange Provider unless the replacement has been disclosed to you and you have accepted any applicable Provider Terms.
15. NO GUARANTEE OF THIRD-PARTY-SERVICES
Bull Bitcoin does not guarantee the continuing availability, solvency, cybersecurity, processing times, regulatory status, or performance of any Third-Party Provider.
Bull Bitcoin does not control a Third-Party Provider's systems, exchange execution, custody operations, compliance decisions, holds, reversals, or payout decisions. Bull Bitcoin may assist with questions concerning Provider Services, but such assistance does not transfer the Third-Party Provider's responsibilities to Bull Bitcoin.
16. ALLOCATION AND LIMITATION OF RESPONSIBILITY
16.1 Bull Bitcoin’s responsibilities
Bull Bitcoin is responsible for performing the Bull Bitcoin Services and its other obligations under these Terms, subject to the limitations set forth in this Section 16.
16.2 Third-Party Provider responsibilities
Provider Services are governed by the applicable Provider Terms. To the fullest extent permitted by applicable law, Bull Bitcoin is not responsible for any loss, delay, failure, error, restriction, or other consequence caused exclusively by an act or omission of an Exchange Provider, bank, payment processor, payment network, custodian, wallet provider, or other Third-Party Provider, including matters relating to the applicable provider’s custody, fiat balances, underlying pricing or liquidity, exchange execution or settlement, eligibility or compliance decisions, holds, freezes, returns, recalls, reversals, withdrawals, payouts, or other Provider Services.
16.3 User, Network, and External Events
To the fullest extent permitted by Applicable Law, Bull Bitcoin is not responsible for losses, delays, or failures arising exclusively from your acts or omissions, inaccurate or unauthorized Instructions, your failure to secure your account, devices, or wallets, network or protocol conditions outside Bull Bitcoin's control, or other events beyond Bull Bitcoin's reasonable control.
You are responsible for any actual loss incurred by Bull Bitcoin as a direct result of your act or omission, including where a fiat transfer associated with a Provider Transaction is returned, recalled, reversed, or otherwise recovered after Bull Bitcoin has performed its obligations in connection with that transaction.
16.4 Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, BULL BITCOIN WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, BUSINESS OPPORTUNITY, GOODWILL, OR ANTICIPATED SAVINGS, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES.
WHERE A CLAIM ARISES DIRECTLY FROM A SPECIFIC PROVIDER TRANSACTION, BULL BITCOIN'S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THAT PROVIDER TRANSACTION WILL NOT EXCEED THE FIAT VALUE OF THAT PROVIDER TRANSACTION.
FOR ALL OTHER CLAIMS, BULL BITCOIN'S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF: (I) THE COMMISSIONS OR FEES RECEIVED BY BULL BITCOIN IN CONNECTION WITH YOUR USE OF THE SERVICES DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (II) ONE THOUSAND U.S. DOLLARS (US$1,000).
THE LIMITATIONS IN THIS SECTION DO NOT APPLY TO BULL BITCOIN’S FRAUD, GROSS NEGLIGENCE, RECKLESS OR WILLFUL MISCONDUCT, OR TO ANY LIABILITY, STATUTORY RIGHT, OR REMEDY THAT CANNOT LAWFULLY BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.
17. INTELLECTUAL PROPERTY
Bull Bitcoin and its licensors own all rights, title, and interest in the Bull Bitcoin application, websites, software, interfaces, content, trademarks, logos, and other materials made available through the Services (“Bull Bitcoin Materials”).
Subject to these Terms, Bull Bitcoin grants you a limited, non-exclusive, non-transferable, and revocable right to use the Bull Bitcoin Materials solely to access and use the Services. You may not copy, modify, distribute, sell, license, reverse engineer, or otherwise exploit the Bull Bitcoin Materials except as permitted by Applicable Law or with Bull Bitcoin's written consent. Third-party materials and trademarks remain the property of their respective owners.
18. PRIVACY
Bull Bitcoin's collection, use, disclosure, retention, and protection of personal information in connection with the Services are described in the Bull Bitcoin Privacy Policy.
By creating a Bull Bitcoin Account or using the Services, you acknowledge that you have been provided access to the Privacy Policy. Nothing in these Terms limits any privacy right that cannot lawfully be waived under Applicable Law.
19. TAXES
You are solely responsible for determining whether and to what extent any taxes apply to your use of the Services or your transactions in Bitcoin, and for reporting and paying any taxes required under Applicable Law. Transaction history or other information made available through the Bull Bitcoin application is provided for your convenience and should not be treated as tax advice or as a determination of your tax obligations.
Tax information reporting relating to Provider Services is governed by the applicable Provider Terms. Bull Bitcoin may collect or transmit information, or make tax documentation available to you, in connection with such reporting.
20. NETWORK RISKS
Bitcoin transactions and supported delivery methods, including the Bitcoin, Lightning, and Liquid Networks, depend on third-party networks, protocols, infrastructure, liquidity, and other conditions outside Bull Bitcoin's control. Transactions may be delayed, fail, become unavailable, or, once completed, be technically irreversible. Lightning and Liquid involve risks different from direct settlement on the Bitcoin Network. In particular, Liquid is a federated Bitcoin sidechain, and the availability and convertibility of L-BTC depend on the continued operation and security of the Liquid Network and its peg mechanisms. Bull Bitcoin does not control these networks or guarantee their continued availability, security, operation, or successful transaction processing. Bull Bitcoin may suspend or discontinue a supported delivery method where reasonably necessary for security, operational, legal, regulatory, or user-protection reasons. You are responsible for selecting a supported delivery method and verifying the accuracy and compatibility of the destination information you provide.
21. DISCLAIMER OF WARRANTIES
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, EXCEPT FOR THE OBLIGATIONS EXPRESSLY ASSUMED BY BULL BITCOIN UNDER THESE TERMS, THE U.S. SERVICES AND BULL BITCOIN MATERIALS ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.
BULL BITCOIN DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR AVAILABLE AT ALL TIMES, OR THAT EVERY TRANSACTION, NETWORK, THIRD-PARTY SERVICE, OR DELIVERY METHOD WILL BE AVAILABLE OR OPERATE WITHOUT DELAY, INTERRUPTION, OR ERROR.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, BULL BITCOIN DISCLAIMS ALL WARRANTIES NOT EXPRESSLY SET FORTH IN THESE TERMS, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
BULL BITCOIN DOES NOT MAKE ANY WARRANTY ON BEHALF OF AN EXCHANGE PROVIDER OR OTHER THIRD-PARTY PROVIDER AND DOES NOT GUARANTEE THE PERFORMANCE, AVAILABILITY, SECURITY, OR CONTINUED OPERATION OF ANY THIRD-PARTY SERVICE OR NETWORK.
NOTHING IN THIS SECTION EXCLUDES OR LIMITS ANY WARRANTY, RIGHT, REMEDY, OR LIABILITY THAT CANNOT LAWFULLY BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.
22. SUSPENSION, TERMINATION AND ACCOUNT CLOSURE
22.1 Suspension and restrictions
Bull Bitcoin may reject, delay, restrict, suspend, or discontinue access to all or part of the Services, your Bull Bitcoin Account, or a Provider Transaction where reasonably necessary for legal, regulatory, compliance, fraud-prevention, security, operational, technical, or risk-management reasons, including where required by Applicable Law or resulting from the suspension, restriction, or discontinuation of a necessary Third-Party Provider service.
22.2 Termination by You
You may stop using the Services and request closure of your Bull Bitcoin Account at any time, subject to the resolution of any pending transactions, outstanding obligations, compliance reviews, or disputes.
Closing your Bull Bitcoin Account does not automatically close or terminate any account, balance, or service maintained for you by a Third-Party Provider, which remains subject to the applicable Provider Terms.
22.3 Termination by Bull Bitcoin
Bull Bitcoin may terminate your Bull Bitcoin Account or discontinue all or part of the Services where you materially or repeatedly breach these Terms, where continued provision of the Services presents a material legal, regulatory, compliance, fraud, security, operational, or financial risk, where required by Applicable Law, or where Bull Bitcoin or a necessary Third-Party Provider discontinues the relevant service.
Where reasonably practicable and permitted by Applicable Law, Bull Bitcoin will provide notice before termination.
22.4 Effect of Termination
Termination or closure of your Bull Bitcoin Account ends your right to initiate new transactions or use the affected Services but does not affect any rights, obligations, liabilities, or remedies accrued before termination.
Termination or closure does not terminate any separate Provider Account or Provider Terms or affect any fiat balance, custodial Bitcoin balance, or other entitlement maintained for you by a Third-Party Provider.
Bull Bitcoin may provide reasonable assistance after termination where necessary to complete or resolve pending transactions or facilitate communication with an applicable Third-Party Provider.
23. DISPUTE RESOLUTION
23.1 Governing Law
These Terms and any dispute, claim, or controversy arising out of or relating to these Terms or the Services are governed by the laws of the State of Wyoming, without regard to its conflict-of-laws principles, except to the extent applicable federal law governs.
23.2 Informal Resolution
Before commencing arbitration, you and Bull Bitcoin agree to attempt in good faith to resolve any dispute informally.
The party raising the dispute must provide written notice describing the nature and basis of the dispute and the relief sought. The parties will have thirty (30) days after receipt of the notice to attempt to resolve the dispute before either party may commence arbitration, unless applicable law requires otherwise or the parties agree to a different period.
23.3 Agreement to Arbitrate
Except for disputes eligible to be brought in small claims court as provided below, you and Bull Bitcoin agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Services, or your relationship with Bull Bitcoin will be resolved by binding individual arbitration rather than in court.
This arbitration agreement is governed by the Federal Arbitration Act, 9 U.S.C. §§ 1–16.
The arbitration will be administered by the American Arbitration Association (“AAA”) in accordance with its applicable Consumer Arbitration Rules then in effect, as modified by this Section.
The arbitration will be conducted by a single neutral arbitrator. Unless the parties agree otherwise, any hearing may be conducted remotely or at a location reasonably convenient to you in accordance with the applicable AAA rules.
The arbitrator may award any individual relief or remedy that would be available under applicable law, subject to the limitations contained in these Terms to the extent enforceable.
23.4 Small Claims
Notwithstanding Section 23.3, either you or Bull Bitcoin may bring an individual claim in a small claims court of competent jurisdiction if the claim qualifies for that court and remains on an individual basis.
23.5 Class Action and Jury Trial Waiver
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND BULL BITCOIN AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF, CLAIMANT, OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION OR PROCEEDING.
YOU AND BULL BITCOIN ALSO WAIVE, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ANY RIGHT TO A TRIAL BY JURY FOR A DISPUTE SUBJECT TO THIS SECTION.
23.6 Arbitration Fees
Payment of filing, administrative, arbitrator, and hearing fees will be governed by the applicable AAA Consumer Arbitration Rules and fee schedule, except where applicable law requires Bull Bitcoin to pay a greater portion of those fees.
23.7 Severability of Arbitration Provisions
If any portion of this Section 23 is held invalid or unenforceable as to a particular claim or request for relief, that portion will be severed and the remainder of this Section will be enforced to the fullest extent permitted by applicable law.
If the Class Action Waiver in Section 23.5 is held unenforceable with respect to a particular claim or request for relief, the effect of that determination on the arbitration of that claim will be determined in accordance with applicable law.
23.8 Court Proceedings
For any dispute that is not subject to arbitration under this Section, and for any court proceeding permitted in connection with the enforcement of this arbitration agreement or an arbitration award, the parties consent to the jurisdiction of the state and federal courts having jurisdiction in Wyoming, except where applicable law requires otherwise.
23.9 Survival
This Section 23 survives the closure of your Bull Bitcoin Account and the termination of these Terms.
24. GENERAL PROVISIONS
24.1 Entire Agreement
These Terms, together with any additional terms expressly incorporated by reference, constitute the entire agreement between you and Bull Bitcoin concerning the Services and supersede any prior or contemporaneous agreements, communications, or understandings concerning the same subject matter.
The Privacy Policy describes Bull Bitcoin’s privacy practices but is not incorporated into these Terms as a contractual representation or warranty except to the extent expressly stated.
24.2 Severability
Except as otherwise provided in Section 24 with respect to dispute resolution, if any provision of these Terms is held invalid, illegal, or unenforceable, that provision will be enforced to the maximum extent permitted by applicable law or, where necessary, severed, and the remaining provisions will remain in full force and effect.
24.3 No Waiver
Bull Bitcoin’s failure or delay in exercising any right or remedy under these Terms does not waive that right or remedy. A waiver is effective only if expressly made in writing and applies only to the specific circumstances for which it is given.
24.4 Assignment
You may not assign or transfer these Terms or your rights or obligations under them without Bull Bitcoin’s prior written consent.
Bull Bitcoin may assign or transfer these Terms, in whole or in part, in connection with a merger, acquisition, corporate reorganization, sale of assets, change of control, or transfer of the Services, subject to applicable law.
24.5 Force Majeure
Bull Bitcoin is not responsible for a delay or failure to perform an obligation under these Terms to the extent caused by events beyond its reasonable control, including natural disasters, war, terrorism, civil unrest, government action, telecommunications or internet failures, widespread infrastructure outages, or failures of blockchain or payment networks, except to the extent Bull Bitcoin is required by applicable law to bear responsibility for the affected obligation.
24.6 No Third-Party Beneficiaries
Except as expressly provided in these Terms, these Terms do not create any rights or remedies in favor of any person or entity other than you and Bull Bitcoin.
24.7 Survival
Any provision that by its nature should survive termination of these Terms will survive, including provisions concerning intellectual property, outstanding obligations, limitation of liability, dispute resolution, and general provisions.
